Terms and Conditions.
These terms govern your use of Coderank (https://www.coderank.net), a platform owned and operated by Moduletrace LTD (https://www.moduletrace.com), Coderank's parent company, where clients post software contests and developers compete by building working solutions. By creating an account or using Coderank, you agree to these terms. If you do not agree, do not use the platform.
Definitions
- "Coderank", "we", "us" and "our" refer to Moduletrace LTD, the operator of the platform.
- "Client" means an account that posts and funds contests (shown as "Employer" at signup).
- "Developer" means an account that enters contests and submits work.
- "Contest" means a project brief posted by a client, with requirements, a deadline and a reward.
- "Entry" means a developer's participation in a contest, made up of one or more versions. Each version is pinned to a git commit and comes with a preview URL.
Accounts
You must be at least 18 years old and able to enter a binding contract to use Coderank. You agree to give accurate account details and keep them up to date.
You are responsible for everything done through your account. Keep your email account, password and connected git accounts secure, and tell us straight away if you believe your account has been compromised.
We may suspend or revoke any account that breaks these terms, puts other users at risk, or is used for fraud.
Contests and payments
Creating a contest is free. To open a contest, the client pays the full reward up front, by card through Paystack or from their Coderank wallet. The reward is held by the platform until the contest ends. The smallest reward and the processing fee for card payments are shown before you pay.
When the client picks a winner, Coderank keeps a platform fee of 10% of the reward and releases the rest to the winning developer's payout account.
A client may cancel a contest that is not guaranteed while it is open or being judged, and the held reward is returned to their wallet. A guaranteed contest cannot be cancelled once paid for and must end with a winner. Choosing to guarantee a contest cannot be undone. Refunds are covered in full by our Refund Policy (https://www.coderank.net/refunds).
Payments are collected by Moduletrace LTD, Coderank's parent company. Paystack checkouts, receipts and your card or bank statements will show Moduletrace LTD rather than Coderank.
Wallet balances are used to fund contests on the platform. Balance that is free of contest obligations can be refunded to your bank account from your wallet page, less a processing fee, as set out in the Refund Policy. All amounts are held and paid in Nigerian Naira. Amounts shown in other currencies are estimates converted at the daily exchange rate.
Developer payouts
Developers must add a valid payout account to receive rewards. You are responsible for the accuracy of your payout details. We are not liable for a payout sent to details you provided that turn out to be wrong.
Payouts are sent by Moduletrace LTD, so the transfer will show that name on your bank statement.
Payouts depend on our payment partners. We will work to resolve failed or delayed transfers, but we cannot guarantee their timing. You are responsible for any taxes due on rewards you receive.
Code, previews and ownership
Each developer owns the code in their entry. Entry code is private by default. Clients judge entries through the preview URLs developers provide, and see a version's source code only when its developer chooses to share it. Developers can turn sharing on and off at any time.
When a contest completes, ownership of the winning version passes to the client, who receives full access to it. The winning version is merged into the client's origin repo when the contest has one, and exported as an archive the client can download at any time. The winning developer agrees to this transfer by entering the contest.
Code a client shares as part of a contest brief remains the client's. Developers may use it only to take part in that contest.
Code from entries that did not win stays with its developer. Clients must not copy, use or reproduce code or designs from entries they did not select.
Acceptable use
You agree not to:
- submit work that is not your own, or that infringes anyone else's intellectual property;
- include malware, backdoors, or code that collects data without permission in an entry or preview;
- post contests for unlawful work, or use contests to obtain free work with no intention of picking a winner;
- arrange to pay or be paid outside the platform for work on a contest;
- create multiple accounts to enter the same contest, or collude to influence a result;
- try to access accounts, repos or data that are not yours, or interfere with the security or operation of Coderank.
Connected git accounts
Entering contests, and starting a contest from a private repo, requires connecting a GitHub, GitLab or Gitea account. You authorize us to use the access you grant to create, read and update repos for your contests. Your use of those services is also subject to their own terms.
Platform content
The Coderank name, logo, design and platform software belong to Moduletrace LTD. These terms do not give you any right to use them beyond using the platform as intended.
Disclaimers
Coderank is provided "as is". We do not guarantee that the platform will always be available or free of errors, that any contest will receive entries, or that any entry will meet a client's needs. Clients are responsible for reviewing and testing code before they use it.
Limitation of liability
To the fullest extent permitted by law, Moduletrace LTD is not liable for indirect or consequential losses, loss of profits, or loss of data arising from your use of Coderank. Our total liability to you for any claim is limited to the fees we earned from your contests in the 12 months before the claim.
Nothing in these terms limits liability for fraud, or any liability that cannot be limited by law.
Changes to these terms
We may update these terms as the platform changes. We will post the new version on this page and update the date above, and for significant changes we will also let you know by email. Continuing to use the platform after a change means you accept the updated terms.
Governing law
These terms are governed by the laws of the Federal Republic of Nigeria, and the courts of Nigeria have jurisdiction over any dispute arising from them.
